1. The service

Notelle is a note-taking application (a Chrome extension and mobile apps) that encrypts notes on your device. These terms apply to the applications, to the Pro license, and to this website. By installing or using Notelle you agree to them.

2. Your data and your passphrase

Notes are encrypted with a key derived from a passphrase that only you know. The developer has no copy of your passphrase or key and cannot recover, reset or read your notes. You are responsible for remembering your passphrase and for keeping your own backups (for example the JSON or ZIP export). Sync and backup use your own Google Drive under Google's terms; the developer does not operate a server that stores your data.

3. Free and Pro

The core features are free. Pro features of the Chrome extension (sync, attachments and backups through Google Drive, ZIP export, additional themes) require a license key. A license key is for one Google (Chrome) account and may be activated on one account at a time; you may deactivate it in the customer portal to move it. Do not share or resell keys. The developer may revoke keys obtained through fraud or chargeback.

4. Purchases, subscriptions and refunds

Purchases are processed by Polar Software Inc. ("Polar") as merchant of record; Polar's terms apply to payment, invoicing and taxes. A one-time purchase does not expire. A yearly subscription renews automatically until cancelled; you can cancel any time in the Polar customer portal and keep access until the end of the paid period. If Pro does not work for you, contact us within 14 days of purchase for a refund.

5. Open source

We are considering releasing the Chrome extension's source code under the GNU AGPL-3.0; it has not been published yet. The names "Notelle", the former names, and the icons are not covered by that license and may not be used for forks or derived products.

6. Acceptable use

Do not use Notelle to break the law, to interfere with the service or with Google Drive, or to circumvent the license check. You may not reverse the encryption of anyone else's notes.

7. No warranty; limitation of liability

Notelle is provided as is, without any warranty that it is fit for a particular purpose or free of defects. The developer is liable for damages only where the developer is at fault. The developer is not liable for damages that are not attributable to the developer, such as a forgotten passphrase, a broken or lost device, or an outage of Google Drive or another third-party service.

Except where the developer acts intentionally or with gross negligence, liability is limited to direct and ordinary damages, and the maximum amount the developer pays is the greater of the amount you paid for Pro in the 12 months before the damage occurred or JPY 3,000. Nothing in these terms limits rights that consumer law, including Japan's Consumer Contract Act, gives you.

8. Changes and termination

These terms may be updated; the date above shows the current version, and material changes will be announced on this site. You may stop using Notelle at any time; your local notes and exports remain yours.

9. Governing law and contact

These terms are governed by the laws of Japan. The district court with jurisdiction over the developer's address in Japan is the court of first instance for disputes about these terms or Notelle. This does not prevent a consumer from bringing a claim in the courts of their place of residence where the law allows it. 1. サービス

Notelle は、メモを端末の中で暗号化するメモアプリ (Chrome 拡張とモバイルアプリ) です。本規約はアプリ・Pro版のライセンス・この Web サイトに適用され、インストールまたは利用した時点で同意したものとみなします。

2. データとパスフレーズ

メモは、あなただけが知るパスフレーズから導いた鍵で暗号化されます。開発者はパスフレーズと鍵の控えを持たず、メモの復元・リセット・閲覧はできません。パスフレーズの管理と、自分でのバックアップ (JSON・ZIP の書き出し) はあなたの責任です。同期とバックアップはあなた自身の Google Drive を Google の規約のもとで使うもので、開発者はデータを保存するサーバーを運営していません。

3. Free版と Pro版

基本機能は無料です。Chrome 拡張の Pro版の機能 (Google Drive による同期・添付・バックアップ、ZIP 書き出し、追加テーマ) にはライセンスキーが必要です。ライセンスキーは 1 つの Google (Chrome) アカウント用で、同時に有効化できるのは 1 アカウントです。別のアカウントへ移すときはポータルで有効化を解除してください。キーの共有・転売はできません。不正やチャージバックで得たキーは無効にすることがあります。

4. 購入・サブスクリプション・返金

購入の処理は販売代行事業者 (Merchant of Record) の Polar Software Inc. (以下 Polar) が行い、支払い・請求書・税については Polar の規約が適用されます。買い切りに期限はありません。年額プランは解約するまで自動で更新され、Polar のポータルからいつでも解約でき、支払い済みの期間の終わりまで利用できます。Pro版がお使いの環境で動作しない場合は、購入から 14 日以内にご連絡いただければ返金します。

5. オープンソース

Chrome 拡張のソースコードの公開を検討しています。公開する場合は GNU AGPL-3.0 で提供します (現在は未公開です)。「Notelle」および旧名称とアイコンはこのライセンスの対象外で、派生物に使うことはできません。

6. 禁止事項

法令に反する利用、サービスや Google Drive への妨害、ライセンス確認の回避、他人のメモの暗号を解く行為を禁じます。

7. 無保証・責任の制限

Notelle は現状のまま提供し、特定の目的に適合すること、不具合がないことを保証しません。開発者は、開発者の責めに帰すべき事由がある場合に限り、損害を賠償する責任を負います。パスフレーズの失念、端末の故障や紛失、Google Drive など他社のサービスの障害のように、開発者の責めに帰すべき事由によらない損害については責任を負いません。

開発者の故意または重大な過失による場合を除き、賠償の範囲は利用者に直接かつ通常生じる損害とし、開発者が賠償する額の上限は、損害が生じた日から遡って 12 か月間に利用者が Pro版に支払った金額と 3,000 円のいずれか高い額とします。本規約は、消費者契約法その他の法令で認められた利用者の権利を制限するものではありません。

8. 変更と終了

本規約は改定することがあります。上の日付が現在の版で、重要な変更はこのサイトで告知します。利用はいつでもやめられ、端末内のメモと書き出したファイルはあなたのものです。

9. 準拠法・連絡先

本規約は日本法に準拠します。本規約または Notelle に関する紛争は、開発者の住所地を管轄する地方裁判所を第一審の管轄裁判所とします。ただし、消費者である利用者が、法令に基づいてお住まいの地域や国の裁判所に訴えることを妨げません。本規約の日本語版と英語版で内容が異なる場合は、日本語版を優先します。お問い合わせはサポートのページへ。
